The Artist further affirms that such artworks are <strong data-start=\"1425\" data-end=\"1509\">free of any encumbrance, third-party ownership, or prior contractual obligations<\/strong> that may affect the Gallery\u2019s right to sell or display them.<\/p><hr \/><p>\u2022<strong> EVALUATION AND PRICING<\/strong><\/p><p data-start=\"1616\" data-end=\"1755\">(a) The Artist shall propose, in writing, a base selling price (in Nigerian Naira) for each artwork, after consultation with the Gallery.<\/p><p data-start=\"1757\" data-end=\"1884\">(b) The Gallery reserves the right to determine the final retail price, including denomination in any currency of its choice.<\/p><p data-start=\"1886\" data-end=\"1990\">(c) The Artist shall be entitled to the agreed-upon base price, less applicable taxes and commissions.<\/p><p data-start=\"1992\" data-end=\"2174\">(d) In the event of any subsequent price adjustment mutually agreed upon by both parties, such changes shall be documented in writing and appended as an addendum to this Agreement.<\/p><hr \/><p data-start=\"1992\" data-end=\"2174\">\u2022 <strong>EXCLUSIVITY AND SALES RIGHTS<\/strong><\/p><p data-start=\"2224\" data-end=\"2408\">(a) Each artwork delivered to the Gallery shall be under <strong data-start=\"2281\" data-end=\"2326\">exclusive representation and sales rights<\/strong> of the Gallery for a period of <strong data-start=\"2358\" data-end=\"2378\">ninety (90) days<\/strong> from the date of placement.<\/p><p data-start=\"2410\" data-end=\"2641\">(b) During this exclusivity period, the Artist <strong data-start=\"2457\" data-end=\"2606\">shall not sell, display, advertise, or offer the same artwork for sale through any other medium, gallery, online platform, or private transaction<\/strong>, whether directly or indirectly.<\/p><p data-start=\"2643\" data-end=\"2897\">(c) Any sale or attempted sale of the artwork through another channel during this exclusivity period shall constitute a <strong data-start=\"2763\" data-end=\"2782\">material breach<\/strong> of this Agreement and a <strong data-start=\"2807\" data-end=\"2854\">violation of the Gallery\u2019s exclusive rights<\/strong>, which shall be <strong data-start=\"2871\" data-end=\"2894\">legally enforceable<\/strong>.<\/p><p data-start=\"2899\" data-end=\"3142\">(d) In the event of such breach, the Gallery reserves the right to pursue <strong data-start=\"2973\" data-end=\"2991\">legal remedies<\/strong>, including but not limited to <strong data-start=\"3022\" data-end=\"3064\">injunctive relief, recovery of damages<\/strong>, and <strong data-start=\"3070\" data-end=\"3123\">termination of all ongoing or future partnerships<\/strong> with the Artist.<\/p><hr \/><p>\u2022 <strong>DURATION AND RENEWAL<\/strong><\/p><p data-start=\"3184\" data-end=\"3279\">(a) Each artwork shall remain on display for <strong data-start=\"3229\" data-end=\"3249\">ninety (90) days<\/strong> from the date of placement.<\/p><p data-start=\"3281\" data-end=\"3500\">(b) If the artwork remains unsold after this period, either party may initiate a <strong data-start=\"3362\" data-end=\"3386\">Renewal of Placement<\/strong> by issuing a written <strong data-start=\"3408\" data-end=\"3429\">Placement Codicil<\/strong>, a draft of which shall be attached to this Agreement as a schedule.<\/p><p data-start=\"3502\" data-end=\"3572\">(c) Renewal terms, if any, shall be mutually agreed upon in writing.<\/p><hr \/><p data-start=\"3502\" data-end=\"3572\"><strong data-start=\"3579\" data-end=\"3601\">IN WITNESS WHEREOF<\/strong>, the parties hereto have executed this Agreement on the day and year first above
