THIS AGREEMENT IS MADE THIS DATE : [agreement-date],
BETWEEN:
DUDU ARTS GALLERY, (hereinafter referred to as “the Gallery”), of the one part,

AND

[artist-name], residing at [artist-address], (hereinafter referred to as “the Artist”, which expression shall, where the context so admits, include his/her heirs, representatives, and assigns), of the other part.

WHEREAS:

• The Gallery has established an online platforms for the exhibition, promotion, and sale of original works of art, including but not limited to paintings, drawings, sculptures, collages, carvings, and graphic works.

• The Artist has expressed an intention to submit original artworks for exclusive display, exhibition, advertisement, and sale through the Gallery.

NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:

• CONFIRMATION OF OWNERSHIP
The Artist hereby confirms that all artworks submitted to the Gallery are original creations exclusively and entirely made by the Artist. The Artist further affirms that such artworks are free of any encumbrance, third-party ownership, or prior contractual obligations that may affect the Gallery’s right to sell or display them.

• EVALUATION AND PRICING

(a) The Artist shall propose, in writing, a base selling price (in Nigerian Naira) for each artwork, after consultation with the Gallery.

(b) The Gallery reserves the right to determine the final retail price, including denomination in any currency of its choice.

(c) The Artist shall be entitled to the agreed-upon base price, less applicable taxes and commissions.

(d) In the event of any subsequent price adjustment mutually agreed upon by both parties, such changes shall be documented in writing and appended as an addendum to this Agreement.

• EXCLUSIVITY AND SALES RIGHTS

(a) Each artwork delivered to the Gallery shall be under exclusive representation and sales rights of the Gallery for a period of ninety (90) days from the date of placement.

(b) During this exclusivity period, the Artist shall not sell, display, advertise, or offer the same artwork for sale through any other medium, gallery, online platform, or private transaction, whether directly or indirectly.

(c) Any sale or attempted sale of the artwork through another channel during this exclusivity period shall constitute a material breach of this Agreement and a violation of the Gallery’s exclusive rights, which shall be legally enforceable.

(d) In the event of such breach, the Gallery reserves the right to pursue legal remedies, including but not limited to injunctive relief, recovery of damages, and termination of all ongoing or future partnerships with the Artist.

• DURATION AND RENEWAL

(a) Each artwork shall remain on display for ninety (90) days from the date of placement.

(b) If the artwork remains unsold after this period, either party may initiate a Renewal of Placement by issuing a written Placement Codicil, a draft of which shall be attached to this Agreement as a schedule.

(c) Renewal terms, if any, shall be mutually agreed upon in writing.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the day and year first above written.
