THIS AGREEMENT IS MADE THIS DATE : [agreement-date],
BETWEEN:
DUDU ARTS GALLERY, Yaba, Lagos State (hereinafter, ‘’Dudu Arts Gallery” which expression shall where the context so admits include its successors-in-title and assigns) of the one part
AND
[artist-name] residing in [residence-state] State (hereinafter, ‘’the Artist” which expression shall, where the context so admits, include his heirs, representatives and assigns), of the other part.
WHEREAS:
• the Gallery has set up an online Gallery for the display, exhibition, advertisement and sale of works of art, including drawings, sculpture, collage, carving and graphics works
• the Artist has indicated interest in submitting his works of art to the Gallery for such display, exhibition, advertisement and sale to patrons of the Gallery

THEREFORE, IT IS AGREED AS FOLLOWS:
• CONFIRMATION OF OWNERSHIP
The Artist hereby confirms that all and any work of art he would submit to the every Artwork are works created exclusively and entirely by him/her and that there are no encumbrances in terms of intellectual property ownership rights, entitlements and or royalties from such artwork or the employment or other contractual responsibilities of the Artist.

• EVALUATION AND PRICING
The Artist shall state in writing (after negotiations with the Gallery), the price amount (in Nigerian Naira) for which he would sell the Artwork placed in the Gallery. The Gallery hereby reserves the right to thereafter, place any price whatsoever on the Artwork and to denominate such pricing in any currency of its choice. Provided that the Artist shall be entitled to only the price amount he /she agreed with the Gallery before placing the artwork with the Gallery, subject to taxes.
Provided also that where there has been a novation, and the parties hereto agreed on a lower or higher price than the initial placement price, the provisions hereto shall apply accordingly.

• DURATION
Each artwork delivered by the Artist to the Gallery shall remain on display for a period of 90 days within which, if not sold, parties shall activate a Renewal of the Placement Contract by either party issuing a Placement Codicil, the draft copy of which shall be attached to the schedule hereto.
